We provide web development, WordPress troubleshooting, SEO, SEM, SMM, graphic and print design services throughout the United States.

2. Eligibility

You must be at least 18 years old and legally capable of entering into contracts. By using our Website or Services, you represent and warrant that you satisfy these requirements.

3. Accounts & Access

If you create an account (or access certain client portals), you agree to maintain the security of your login credentials and notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to use our Website or Services to:

• Violate any law, regulation or third-party right;
• Transmit any harmful code (viruses, malware);
• Use our Services for spamming, phishing or any unethical marketing;
• Reverse engineer or decompile our systems;
• Remove or alter any proprietary notices on our Website.

5. Client Obligations

For projects involving client web, design or marketing work, the client agrees to provide necessary access (hosting, CMS credentials, brand assets) in a timely manner. Delays caused by client inaccessibility may affect project timelines.

6. Intellectual Property

Unless otherwise agreed in writing, we retain ownership of any work product, designs, code, templates, and methodologies we create. Upon full payment (if applicable), we grant you a non-exclusive, non-transferable license to use the deliverables for your internal business purposes.

7. Fees, Payment & Refunds

All fees for services are described in our proposal or service agreement. Payment is due as agreed. We reserve the right to suspend or terminate Services if payment is overdue. Unless explicitly stated, fees are non-refundable.

8. Service Interruptions & Warranty Disclaimer

We aim to deliver Services with professional skill and care, but we do not guarantee uninterrupted service or error-free work. We provide Services “as-is” and disclaim all implied warranties to the fullest permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, our liability for any claim arising from your use of the Website or Services shall not exceed the amount you paid us in the 12 months prior to the claim. We will not be liable for indirect, incidental or consequential damages.

10. Indemnification

You agree to indemnify and hold harmless WordPressMD, its officers, directors, employees and agents from any claims, losses or liabilities arising out of your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time for breach of these Terms, without liability. Upon termination, all licenses granted to you will cease and you must stop using our deliverables.

12. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Virginia and the United States without regard to its conflict of law rules. You and we agree to submit to the exclusive jurisdiction of the courts located in Ruther Glen, Virginia.

13. Changes to Terms

We may modify these Terms from time to time. We will post the updated version on the Website with a revised “Effective date”. Your continued use of the Services constitutes acceptance of the updated Terms.

14. Entire Agreement

These Terms, together with any service proposal, agreement or scope of work document, constitutes the entire agreement between you and WordPressMD and supersedes all prior understandings.
